1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Convexo platform at pay.convexo.xyz (the "Platform"), operated by Convexo SAS, a company incorporated under the laws of Colombia ("Convexo", "we", "us", or "our").
By registering an account, accessing, or using the Platform in any way, you agree to be legally bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Platform.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Continued use of the Platform following notification of changes constitutes your acceptance of the updated Terms.
2. Services Provided
Convexo provides a B2B financial operations platform that enables businesses to manage international payment orders, international collection orders, over-the-counter (OTC) currency and digital asset exchange, and USDC wallet management.
Convexo is an operations interface and intermediary. We do not hold client funds as a bank or financial institution. All payment orders are processed manually by Convexo's operations team using Convexo's own accounts and wallets. Processing times and available services are subject to operational capacity and regulatory requirements.
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice, for operational, legal, or commercial reasons.
3. Eligibility & Registration
Access to the Platform is restricted to legal entities and individuals acting in a business capacity. By registering, you represent that: (a) you are at least 18 years of age; (b) you have full legal capacity to enter into binding agreements; (c) you are acting on behalf of a legitimate business entity; and (d) your use of the Platform complies with all applicable laws and regulations.
You must complete our identity verification process (KYC) before full access is granted. You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. Providing false or misleading information is grounds for immediate account termination.
Convexo reserves the right to refuse registration or revoke access at its discretion, including without limitation where a user poses an AML/CFT or reputational risk.
4. User Obligations
You agree to use the Platform solely for lawful business purposes and in compliance with all applicable laws, regulations, and these Terms. You are solely responsible for ensuring that your use of the Platform complies with the laws of your jurisdiction.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at legal@convexo.xyz if you suspect unauthorized access to your account. Convexo is not liable for losses resulting from unauthorized use of your credentials that you failed to report promptly.
You agree not to use the Platform to circumvent any applicable sanctions, engage in money laundering or terrorist financing, submit fraudulent payment orders, or interfere with the integrity or security of the Platform.
5. Prohibited Activities
The following activities are strictly prohibited on the Platform: submitting payment or collection orders for activities that are illegal in any applicable jurisdiction; using the Platform to launder money, finance terrorism, or evade sanctions; providing false, misleading, or fraudulent information or documentation; attempting to reverse-engineer, scrape, or disrupt the Platform or its infrastructure; and transferring your account or rights under these Terms to any third party.
Violation of any prohibited activity may result in immediate account suspension or termination, reporting to relevant authorities, and legal action by Convexo.
6. Fees & Rates
Convexo may charge service fees for the processing of payment and collection orders, OTC exchange operations, and other services. Applicable fees and exchange rates will be communicated to you prior to the confirmation of each transaction.
OTC exchange rates are indicative and may vary between quotation and execution. Convexo will notify you of any material deviation from the quoted rate before final execution.
All fees are non-refundable except in cases where Convexo is unable to execute an order due to reasons within its control.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Convexo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, business interruption, or reputational harm.
Convexo's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to Convexo in the three (3) months preceding the event giving rise to the claim.
Convexo is not responsible for delays or failures in payment processing caused by third-party banks, financial institutions, blockchain network congestion, or events beyond our reasonable control (force majeure).
8. Intellectual Property
All content, software, trademarks, logos, and materials on the Platform are the exclusive property of Convexo SAS or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended business purpose.
You may not copy, modify, distribute, sell, or create derivative works of any Platform content without our prior written consent.
9. Termination
You may close your account at any time by contacting us at legal@convexo.xyz. Upon closure, all pending orders will be resolved in accordance with standard procedures. Convexo will retain your data for the period required by applicable law.
Convexo may suspend or terminate your account immediately and without prior notice if you violate these Terms, fail to complete KYC requirements, pose an AML/CFT risk, or for any other reason at Convexo's reasonable discretion. Convexo will notify you of termination unless prohibited by law or regulatory requirement.
10. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute arising out of or in connection with these Terms shall be submitted first to good-faith negotiation between the parties for a period of thirty (30) days.
If the dispute cannot be resolved through negotiation, it shall be referred to arbitration administered by the Centro de Arbitraje y Conciliación of the Cámara de Comercio de Bogotá, in accordance with its rules. The arbitration shall be conducted in Spanish and the award shall be final and binding.
